1. Acceptance of Terms
By accessing or using the SKILLO platform (“Platform”), including the website www.skillo.be and related applications, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are acting on behalf of a company, you affirm you have the authority to bind that entity. Use of the Platform is prohibited if you do not accept these Terms.

2. Definitions

  • “Platform”: The SKILLO online marketplace accessible via www.skillo.be and its subdomains.
  • “Service Provider”: A registered user or company that offers and provides services through the Platform.
  • “Service Seeker”: A registered user or company that seeks, books, and pays for services through the Platform.
  • “User”: Any registered Service Provider or Service Seeker.
  • “Service Agreement”: The contractual relationship formed directly between a Service Provider and a Service Seeker for a specific job, facilitated by the Platform.
  • “Customer Data”: Any electronic data or information submitted by Users to the Platform.
  • “Test Mode”: The preliminary operational phase of the Platform in Belgium, during which certain features may be limited, offered free of charge, or subject to change, and financial transactions may be simulated.

3. The SKILLO Marketplace
3.1. Role of SKILLO: SKILLO acts as a technical platform to facilitate connections between Service Providers and Service Seekers. SKILLO is not a party to any Service Agreement. The contract for services is formed directly between the Service Provider and Service Seeker.
3.2. User Responsibilities: Users are solely responsible for verifying the identity, qualifications, and reliability of other Users. SKILLO does not endorse any User or service.
3.3. Test Mode Specifics: During the Test Mode phase in Belgium:
* Access to the Platform may be granted by invitation only.
* All premium features may be offered free of charge.
* Real-money payment processing may be disabled; financial transactions may be simulated for testing purposes.
* Users are encouraged to report bugs, usability issues, and provide feedback.
* SKILLO reserves the right to reset the platform, including user data, during this phase.

4. User Accounts, Conduct, and Content
4.1. Account Integrity: You must provide accurate information and keep your account secure. You are responsible for all activities under your account.
4.2. Prohibited Conduct: Users must not: post false, misleading, or illegal content; harass others; circumvent the Platform’s payment system; or violate any applicable Belgian laws.
4.3. User-Generated Content: You retain rights to your content but grant SKILLO a worldwide license to use, display, and distribute it to operate the Platform.

5. Financial Terms & Billing (For Post-Test Mode)
5.1. Fees: Following Test Mode, SKILLO may charge fees for platform use (e.g., a commission on completed transactions or a subscription fee). All fees will be clearly communicated before implementation.
5.2. Payments: Payments from Service Seekers will be processed via the Platform. SKILLO may use third-party payment processors compliant with Belgian and EU regulations.
5.3. Payouts to Service Providers: Service Providers will receive payouts, minus applicable Platform fees, according to a defined schedule. Providers are responsible for declaring their income and complying with Belgian tax obligations.

6. Intellectual Property
The Platform, its original content, features, and functionality are owned by SKILLO and are protected by intellectual property laws. The “SKILLO” name and logo are trademarks.

7. Termination & Suspension
SKILLO may suspend or terminate your account and access to the Platform for any breach of these Terms, with or without notice. You may terminate your account at any time.

8. Disclaimer of Warranties & Limitation of Liability
8.1. “As Is” Service: The Platform is provided on an “as is” and “as available” basis. SKILLO makes no warranties regarding uninterrupted, error-free, or secure operation, especially during Test Mode.
8.2. Liability Cap: To the fullest extent permitted by Belgian law, SKILLO’s liability shall be limited to direct damages and shall not exceed the total fees you have paid to SKILLO in the six months preceding the claim.

9. Jurisdiction, Governing Law & Specific Belgian Provisions
9.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Belgium.
9.2. Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of [Insert Competent Court District, e.g., Brussels].
